COPYWINS+ MEMBERSHIP TERMS

Effective Date: June 13, 2026

These CopyWins+ Membership Terms (this “Membership Agreement”) govern your purchase and use of the CopyWins+ membership program (“CopyWins+”) offered by CopyWins, Inc. (“CopyWins,” “we,” “us,” or “our”).

This Membership Agreement forms part of the CopyWins Terms of Service, User Agreement, Privacy Policy, Creator Agreement, Earnings Policy, and all other applicable Platform policies. In the event of any conflict, the Terms of Service control unless expressly stated otherwise.

BY PURCHASING, ACTIVATING, RENEWING, OR USING COPYWINS+, YOU AGREE TO BE BOUND BY THIS MEMBERSHIP AGREEMENT. IF YOU DO NOT AGREE, DO NOT PURCHASE OR USE COPYWINS+.

1. CopyWins+ Membership

CopyWins+ is an optional premium membership that provides eligible users with access to enhanced Platform features, services, tools, discounts, and other benefits made available by CopyWins from time to time.

CopyWins+ is a membership program only. It is not an investment product, brokerage service, sportsbook, prediction market, financial service, insurance product, or advisory service, and does not guarantee any financial, trading, wagering, or business outcome.

Membership benefits are provided solely by CopyWins and are subject to availability.

2. Membership Fees and Billing

CopyWins+ is currently offered for:

• $21.00 USD per month, billed monthly; or

• $229.00 USD per year, billed annually (save 9%).

Membership fees are charged in advance and automatically renew unless cancelled before the next billing date.

By purchasing CopyWins+, you authorize CopyWins and its payment processors to charge your selected payment method for all applicable membership fees, taxes, and other charges.

Failure to successfully process payment may result in suspension or termination of your membership and its associated benefits.

3. Membership Benefits

While your CopyWins+ membership remains active and in good standing, you may receive access to benefits that include, without limitation:

• Waived eligible CopyWins platform fees.

• Access to CopyX AI.

• Verified profile status.

• Premium Platform features.

• Early access to new products and services.

• Enhanced analytics.

• Beta features.

• Premium support.

• Exclusive educational content.

• Additional features and benefits introduced by CopyWins from time to time.

The availability of any particular feature or benefit is not guaranteed and may vary by account type, jurisdiction, device, or Platform availability.

4. Platform Fees

CopyWins+ members may receive reduced or waived CopyWins platform fees on eligible transactions conducted through the Platform.

This benefit applies only to fees charged directly by CopyWins.

Third-party fees, including payment processing fees, banking fees, currency conversion fees, taxes, regulatory charges, and similar external costs remain your sole responsibility.

5. CopyX AI

CopyWins+ includes access to CopyX, CopyWins' proprietary artificial intelligence platform.

CopyX generates automated responses for informational and educational purposes only. CopyX does not provide investment, financial, tax, legal, accounting, wagering, gambling, or other professional advice.

Artificial intelligence outputs may be inaccurate, incomplete, outdated, delayed, misleading, or incorrect. You are solely responsible for independently verifying all information before relying upon it.

6. No Guarantee of Results

CopyWins+, CopyX, and all associated membership benefits are provided solely for informational and convenience purposes.

CopyWins makes no representation or warranty regarding:

• Profits;

• Trading performance;

• Investment returns;

• Sports wagering results;

• Prediction market outcomes;

• Subscription revenue;

• Audience growth;

• Business performance; or

• Any other financial or commercial outcome.

Trading, investing, sports wagering, prediction markets, and similar activities involve substantial risk, including the risk of total loss.

You remain solely responsible for every decision you make using the Platform.

7. Membership Changes

CopyWins may modify, suspend, replace, discontinue, expand, limit, or remove any aspect of CopyWins+, including its pricing, benefits, features, fee waivers, eligibility requirements, or functionality, upon reasonable notice where required by applicable law.

Nothing in this Membership Agreement grants any user a vested, perpetual, irrevocable, or lifetime right to any particular membership benefit, pricing structure, feature, discount, or service.

CopyWins expressly reserves the right to evolve its products, pricing models, membership offerings, and business operations as it determines appropriate.

8. Non-Transferability

CopyWins+ memberships are personal to the purchasing account.

Memberships may not be assigned, transferred, sold, licensed, shared, or otherwise made available to another person or account.

Unauthorized transfers may result in immediate suspension or termination without refund.

9. Suspension and Termination

CopyWins may suspend or terminate a CopyWins+ membership, with or without notice where permitted by law, for any reason including without limitation:

• Violation of Platform policies.

• Fraud or suspected fraud.

• Payment failures or chargebacks.

• Illegal activity.

• Abuse of membership benefits.

• Security concerns.

• Compliance or regulatory requirements.

• Conduct that creates legal, operational, financial, or reputational risk for CopyWins.

Termination of a membership does not automatically terminate your CopyWins account unless separately determined by CopyWins.

10. Refunds

Except where required by applicable law, membership fees are non-refundable.

Unused membership periods, unused benefits, dissatisfaction with CopyX, failure to use membership benefits, or failure to achieve any expected trading, wagering, investment, financial, or business result do not entitle you to a refund.

CopyWins may issue refunds in its sole discretion.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COPYWINS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, LOST SUBSCRIPTION INCOME, TRADING LOSSES, INVESTMENT LOSSES, SPORTS WAGERING LOSSES, OR PREDICTION MARKET LOSSES ARISING FROM OR RELATING TO COPYWINS+, COPYX, OR ANY MEMBERSHIP BENEFIT.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH COPYWINS+ IS TO CANCEL YOUR MEMBERSHIP.

12. Changes to this Membership Agreement

CopyWins may modify this Membership Agreement from time to time. If we make material changes, we will provide reasonable notice as required by applicable law.

Your continued use of CopyWins+ after the effective date of any modification constitutes acceptance of the revised Membership Agreement.

13. General

This Membership Agreement survives cancellation, expiration, suspension, or termination to the extent necessary to enforce its provisions.

Any matter not expressly addressed in this Membership Agreement is governed by the CopyWins Terms of Service and other applicable Platform policies.

BY PURCHASING, ACTIVATING, RENEWING, OR USING COPYWINS+, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS MEMBERSHIP AGREEMENT.
