COPYWINS+ MEMBERSHIP TERMS

Effective Date: June 13, 2026

These CopyWins+ Membership Terms ("Membership Terms") govern your purchase, access, and use of the CopyWins+ membership program ("CopyWins+") offered by CopyWins, Inc. ("CopyWins," "Company," "we," "us," or "our"). These Membership Terms are incorporated into and form part of the CopyWins Terms of Service, User Agreement, Privacy Policy, Creator Agreement, Earnings Policy, and all other applicable platform policies.

By purchasing, activating, renewing, accessing, or using CopyWins+, you acknowledge that you have read, understood, and agree to be legally bound by these Membership Terms.

1. COPYWINS+ MEMBERSHIP

CopyWins+ is an optional premium subscription membership that provides eligible users with access to enhanced platform features, benefits, services, and tools offered by CopyWins.

CopyWins+ is a membership program only and does not constitute an investment product, brokerage service, sports wagering service, financial service, advisory service, insurance product, or guarantee of any financial outcome.

Membership benefits are provided solely at the discretion of CopyWins and may be modified, suspended, limited, expanded, or discontinued at any time in accordance with these Membership Terms.

2. MEMBERSHIP FEES

CopyWins+ is currently offered at:

• $12 USD per month, billed monthly; or

• $11 USD per month (annual equivalent pricing) when purchased under an annual billing plan.

Membership fees are charged in advance and automatically renew unless cancelled before the applicable renewal date.

You authorize CopyWins and its payment processors to charge your selected payment method for all applicable membership fees, taxes, and related charges.

Failure to successfully process payment may result in suspension or termination of membership benefits.

3. MEMBERSHIP BENEFITS

While your CopyWins+ membership remains active and in good standing, you may receive access to certain benefits offered by CopyWins.

3.1 No CopyWins Platform Fees

CopyWins+ members may receive the benefit of waived CopyWins platform fees on eligible subscription transactions conducted through the Platform.

For subscribers, CopyWins may waive applicable buyer-side platform fees.

For insight creators, CopyWins may waive applicable creator-side platform fees.

3.2 Third-Party Fees Still Apply

The following fees are not waived and remain the sole responsibility of the user:

• Stripe processing fees

• Stripe Connect fees

• Banking fees

• Currency conversion fees

• Credit card processing fees

• Wire transfer fees

• Government taxes

• Regulatory fees

• Third-party payment provider fees

• Any similar external charges imposed by third parties

CopyWins has no control over such fees and is not responsible for reimbursing or covering them.

3.3 Access to CopyX AI

CopyWins+ includes access to CopyX, CopyWins' proprietary artificial intelligence platform.

CopyX may provide educational information, summaries, market analysis, sports analysis, prediction market insights, research assistance, and other informational outputs.

CopyX does not provide investment advice, financial advice, legal advice, tax advice, wagering advice, gambling advice, fiduciary services, or professional recommendations of any kind.

All CopyX responses are generated automatically and may be incomplete, inaccurate, delayed, misleading, outdated, or incorrect. You are solely responsible for independently verifying all information before relying on it.

3.4 Future Benefits

CopyWins may provide additional benefits to CopyWins+ members, including but not limited to:

• Premium features

• Enhanced analytics

• Early-access products

• Beta features

• Premium support

• Verification benefits

• Enhanced profile visibility

• Additional AI functionality

• Exclusive content

• Membership-only tools

The availability of any feature or benefit is not guaranteed and may change at any time.

3.5 Fee Structure Changes

The "No Platform Fees" benefit is a membership benefit provided by CopyWins and is not guaranteed to remain available indefinitely.

CopyWins reserves the right, in its sole and absolute discretion, to modify, introduce, remove, increase, decrease, suspend, reinstate, or replace any platform fee, service fee, transaction fee, membership benefit, discount, waiver, pricing structure, or monetization model associated with CopyWins+, the Platform, or any related service.

CopyWins may, upon providing reasonable notice to users, modify the scope of fee waivers, impose new transaction fees, adjust existing fee structures, limit eligibility requirements, discontinue fee-free benefits, or implement alternative pricing models.

Nothing in these Membership Terms creates a perpetual, vested, guaranteed, irrevocable, or lifetime right to any specific pricing structure, fee waiver, membership benefit, discount, or economic arrangement.

CopyWins expressly reserves all rights to evolve, modify, or replace its business model, pricing structure, fee schedule, and membership offerings as necessary for operational, commercial, legal, regulatory, compliance, financial, or business purposes.

4. NO GUARANTEE OF RESULTS

COPYWINS+, COPYX, AND ALL ASSOCIATED BENEFITS ARE PROVIDED FOR CONVENIENCE AND INFORMATIONAL PURPOSES ONLY.

COPYWINS DOES NOT GUARANTEE:

• Profits

• Winning trades

• Winning wagers

• Investment returns

• Increased earnings

• Increased subscription revenue

• Increased followers

• Increased engagement

• Business success

• Reduced losses

• Any specific financial outcome

• Any specific performance result

All trading, investing, sports wagering, prediction markets, and financial activities involve substantial risk, including the risk of total loss.

You alone are responsible for every decision you make and every action you take based on information obtained through the Platform.

5. MEMBERSHIP IS NON-TRANSFERABLE

CopyWins+ memberships are personal to the purchasing account and may not be:

• Shared

• Assigned

• Sold

• Resold

• Licensed

• Gifted

• Leased

• Transferred

Any attempt to transfer membership rights may result in immediate termination without refund.

6. ACCOUNT SUSPENSION OR TERMINATION

CopyWins reserves the right to suspend, restrict, disable, or terminate any CopyWins+ membership or related benefits at any time if:

• The user violates platform policies;

• Fraud is suspected;

• Abuse is detected;

• Payment disputes arise;

• Chargebacks occur;

• Illegal activity is suspected;

• Regulatory concerns arise;

• Platform security is threatened; or

• Continued membership presents legal, financial, operational, reputational, compliance, or business risk to CopyWins.

Membership termination may occur with or without notice where permitted by law.

7. NO REFUNDS

Except where required by applicable law:

• Membership fees are non-refundable;

• Partial billing periods are non-refundable;

• Unused benefits are non-refundable;

• Failure to use CopyX is not grounds for a refund;

• Dissatisfaction with CopyX outputs is not grounds for a refund;

• Failure to achieve expected financial, trading, betting, or business outcomes is not grounds for a refund;

• Account suspension or termination resulting from a violation of platform policies is not grounds for a refund.

CopyWins may issue refunds solely at its discretion.

8. MODIFICATION OF MEMBERSHIP

CopyWins may modify, suspend, replace, limit, discontinue, or remove any CopyWins+ feature, benefit, pricing model, fee waiver, transaction fee, membership privilege, AI functionality, service offering, or program component at any time upon reasonable notice.

No user acquires any permanent right to any particular feature, benefit, pricing arrangement, fee waiver, discount, or service by purchasing a CopyWins+ membership.

Users acknowledge and agree that the Platform, its services, membership benefits, technology, pricing structures, and business model may evolve over time and that CopyWins retains full discretion to make such changes as it deems appropriate.

Continued use of CopyWins+ following the effective date of any modification constitutes acceptance of the revised Membership Terms.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COPYWINS SHALL NOT BE LIABLE FOR ANY:

• LOST PROFITS

• LOST REVENUE

• LOST DATA

• LOST BUSINESS OPPORTUNITIES

• LOST SUBSCRIPTION INCOME

• TRADING LOSSES

• INVESTMENT LOSSES

• SPORTS BETTING LOSSES

• PREDICTION MARKET LOSSES

• INDIRECT DAMAGES

• INCIDENTAL DAMAGES

• CONSEQUENTIAL DAMAGES

• SPECIAL DAMAGES

• EXEMPLARY DAMAGES

• PUNITIVE DAMAGES

ARISING OUT OF OR RELATED TO COPYWINS+, COPYX, ANY MEMBERSHIP BENEFIT, OR THE USE OR INABILITY TO USE SUCH SERVICES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH COPYWINS+ IS TO CANCEL YOUR MEMBERSHIP.

10. COMPANY DISCRETION

CopyWins retains sole and absolute discretion regarding:

• Membership eligibility;

• Membership pricing;

• Fee structures;

• Fee waivers;

• Benefit availability;

• Feature access;

• AI functionality;

• Usage limits;

• Membership enforcement;

• Program administration;

• Interpretation of these Membership Terms.

Any decision made by CopyWins regarding CopyWins+ shall be final and binding to the fullest extent permitted by law.

11. ACCEPTANCE

BY PURCHASING, ACTIVATING, RENEWING, ACCESSING, OR USING COPYWINS+, YOU ACKNOWLEDGE THAT:

• YOU HAVE READ THESE TERMS;

• YOU UNDERSTAND THESE TERMS;

• YOU ACCEPT THESE TERMS;

• YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS;

• YOU UNDERSTAND THAT COPYWINS+ IS A MEMBERSHIP PROGRAM AND NOT A GUARANTEE OF ANY FINANCIAL, TRADING, INVESTMENT, WAGERING, OR BUSINESS RESULT;

• YOU UNDERSTAND THAT COPYWINS MAY MODIFY ITS PRICING, FEES, BENEFITS, SERVICES, AND BUSINESS MODEL UPON REASONABLE NOTICE AT ITS SOLE DISCRETION.

These Membership Terms shall survive account closure, membership cancellation, suspension, or termination to the fullest extent permitted by applicable law.
